Terms of Service

These Terms of Service ("Terms") govern your use of the Word Cloud Trivia mobile application ("App") and its features, including free Daily Challenges, one-time purchases of archived challenges and word cloud flash cards, and subscriptions for access to all premium content (collectively, the "Services"), offered by Word Cloud Trivia LLC ("we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

PLEASE READ THESE TERMS CAREFULLY, AS THEY AFFECT YOUR LEGAL RIGHTS.

For information on how we collect, use, and share personal information, please see our Privacy Policy. Your use of the Services constitutes your consent to the data processing activities described in our Privacy Policy under the laws of your jurisdiction.

1. General Rules

1.1 Acceptance of Terms

By using the Services, you agree to comply with these Terms. We may update these Terms at any time by posting the revised version in the App with an updated "Last Updated" date. Changes are effective immediately upon posting. Continued use of the Services after changes constitutes your acceptance. If any changes are unacceptable, you may terminate your account (see Section 8.1) or discontinue use of the Services.

1.2 Changes to Services

We may modify, suspend, or discontinue any aspect of the Services, including features, content, or availability, at any time without notice or liability. We may impose limits on certain features or restrict access to parts or all of the Services without notice.

1.3 Advertising

Accessing the Services may expose you to advertising, which is a condition of use.

2. Content on the Services

2.1 Ownership and Use

All materials in the Services, including text, graphics, images, designs, and software ("Content"), are protected by copyright and owned or controlled by Word Cloud Trivia or its licensors. You may use the Content for personal, non-commercial use only, subject to these Terms and any additional copyright notices or restrictions. Non-commercial use does not include using Content for developing software, models, algorithms, or generative AI tools, including training or operating machine learning or AI systems.

2.2 Intellectual Property

The Services and Content are protected by copyrights, trademarks, and other intellectual property rights under U.S. and international laws. You may not modify, publish, transmit, reproduce, create derivative works from, distribute, display, or exploit any Content or Services, in whole or in part, without our prior written consent.

2.3 Limited License

You may access Content (e.g., archived challenges, word cloud flash cards) purchased through the Services for personal use only, within the App, maintaining all copyright notices. Downloading, screenshotting, copying, or storing any Content, including word cloud content, for any purpose is expressly prohibited without our prior written permission from Word Cloud Trivia.

3. Prohibited Use of the Services

You may not:

• Access or use the Services to harm us or any third party.
• Violate applicable laws or our or any third party’s intellectual property rights.
• Attempt to circumvent, reverse engineer, decrypt, or interfere with the Services or Content.
• Use automated tools (e.g., robots, spiders, scripts) to scrape, mine, or collect Content.
• Use Content for developing AI or machine learning systems.
• Cache or archive Content, except as permitted by public search engines for limited indexing.
• Overload our network or infrastructure.
• Disable, damage, or alter the Services’ functionality or appearance.

Engaging in prohibited uses may result in civil, criminal, or administrative penalties and termination of your access.

4. Registration and Security

4.1 Account Creation

To access premium features, you may need to create an account with login credentials (e.g., email and password or linking a Google account). Each account is for a single user/device only. You may not share credentials or allow others to use your account. We may suspend or terminate your access if you share credentials. You are responsible for maintaining the confidentiality of your credentials and for all activity on your account.

4.2 Accuracy of Information

You must provide accurate and updated registration information. You may not impersonate another person or use credentials without authorization.

4.3 Notifications

You consent to receive electronic notifications (e.g., account updates) at the email address provided. Electronic communications satisfy any legal requirement for written notices, and you agree to store them in an accessible, unchanged form.

4.4 Security Breaches

Notify us at support@wordcloudtrivia.com of any known or suspected unauthorized use of your account or security breaches.

4.5 Age Requirements

You must be at least 13 years old in the USA or 16 years old elsewhere to use the Services. If under 18, your parent or legal guardian must review and agree to these Terms or complete registration/purchases on your behalf.

4.6 No Virus Guarantee

We do not guarantee the Services are free from viruses or malicious code. You are responsible for implementing appropriate security measures (e.g., antivirus software).

5. Fees and Payments

We may charge fees for premium features (e.g., subscriptions, one-time purchases) as outlined in our Terms of Sale. You will not be charged without prior agreement. New fees will be posted in the App. You are responsible for all fees, charges, and applicable taxes incurred through your account.

6. Third-Party Content and Links

The Services may include links to third-party websites, services, or resources ("Linked Content"). We do not control, endorse, or accept responsibility for Linked Content. You access Linked Content at your own risk and should review the third party’s terms and privacy policies. We are not liable for any loss or damage from your interactions with third parties.

7. Software Licenses

7.1 General License

We grant you a limited, revocable, non-exclusive, non-transferable license to use the App on devices you own or control, solely for personal, non-commercial use, subject to these Terms and the Terms of Sale. You may not sublicense, assign, transfer, copy, distribute, modify, reverse-engineer, or create derivative works from the App or its software.

7.2 Apple App Store Terms

If you download the App from the Apple App Store:

• These Terms are between you and Word Cloud Trivia, not Apple.
• The App is licensed on a limited, non-exclusive, non-transferable, non-sublicensable basis for use on Apple devices you own or control, subject to these Terms.
• Apple has no obligation to provide maintenance or support for the App.
• If the App fails to conform to any applicable warranty, you may notify Apple for a refund of the purchase price, if any, as Apple’s sole obligation.
• Word Cloud Trivia, not Apple, is responsible for addressing claims related to the App or its use, including intellectual property infringement.
• You represent you are not in a U.S.-embargoed country or on a U.S. prohibited list.
• You will comply with applicable third-party terms.
• Apple and its subsidiaries are third-party beneficiaries of these Terms, with the right to enforce them against you.

7.3 Google Play Store Terms

If you download the App from Google Play:

• You may reinstall the App without additional fees, unless it is removed due to infringement, violation of third-party rights, or non-compliance with applicable law, after which reinstallation rights cease.
• You may be eligible for refunds under Google Play’s refund policy.
• Google grants you a non-exclusive, worldwide, perpetual license to use the App, subject to reasonable limits to prevent abuse.

8. Termination

8.1 Your Termination

You may terminate your account at any time through the App's Settings screen by selecting "Delete Account" under the Support section, or by contacting us at support@wordcloudtrivia.com. Account deletion will permanently remove all your data and cannot be undone. Cancellation of paid subscriptions or purchases is governed by our Terms of Sale.

8.2 Our Termination

We may terminate or suspend your access to the Services at our discretion, including for breach of these Terms, without notice or liability.

8.3 Survival

Provisions of these Terms will survive termination, including those related to intellectual property, liability, and governing law.

9. Representations, Indemnification, and Limitation of Liability

9.1 Representations

You represent and warrant that: (a) you are at least 13 years old in the USA or 16 elsewhere; (b) if under 18, your parent or guardian has agreed to these Terms; and (c) your use of the Services will not violate any laws or third-party rights.

9.2 Indemnification

You agree to indemnify, defend, and hold harmless Word Cloud Trivia, its affiliates, officers, directors, agents, and licensors ("Indemnified Parties") from any claims, liabilities, or costs (including reasonable attorneys’ fees) arising from your breach of these Terms, violation of laws, or gross negligence. You will cooperate in the defense of such claims.

9.3 Disclaimer of Warranties

To the fullest extent permitted by law, the Services and Content are provided "as is" without warranties, express or implied, including merchantability or fitness for a particular purpose. We do not warrant that the Services will be uninterrupted, error-free, or free of inaccuracies. Use of the Services is at your sole risk.

9.4 Limitation of Liability

To the fullest extent permitted by law, Word Cloud Trivia and its affiliates will not be liable for indirect, consequential, special, incidental, or punitive damages (e.g., lost profits, data loss) arising from your use of the Services, whether based on negligence, tort, contract, or other theory, even if advised of such damages. Our total liability is limited to the amount you paid for the Services in the prior 12 months.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of Illinois, without regard to conflict of law principles. Any claims arising from these Terms or the Services must be filed within one year and resolved in the courts of Springfield, Illinois.

11. Miscellaneous

11.1 Privacy Policy

Nothing in these Terms preempts our Privacy Policy.

11.2 Contact

11.3 Non-Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

11.4 Severability

If any provision is invalid or unenforceable, it will be severed, and the remaining provisions will remain in effect.

11.5 Copyright Infringement

To report copyright infringement, provide written notice to support@wordcloudtrivia.com with: (a) your signature; (b) a description of the infringed work; (c) the location of the infringing material; (d) your contact information; (e) a good-faith statement that the use is unauthorized; and (f) a statement under penalty of perjury that the information is accurate. For counter-notifications, include: (a) your signature; (b) a description of the removed material and its location; (c) a good-faith statement that the removal was mistaken; and (d) your contact information and consent to jurisdiction.

11.6 California Residents

Under California Civil Code Section 1789.3, California residents may contact us at support@wordcloudtrivia.com to resolve complaints or request information. You may also contact the Complaint Assistance Unit, Division of Consumer Services, California Department of Consumer Affairs, 1625 N. Market Blvd., Suite S-202, Sacramento, CA 95834, or (800) 952-5210.
